TERMS OF USE AND SERVICE AGREEMENT

1 INTRODUCTION AND ACCEPTANCE OF CONTRACT

This Terms of Use Agreement ("Agreement") constitutes a legally binding contract between you ("User," "Student," "You") and WorkReady ("Company," "We," "Us," "Our"), regarding your use of the WorkReady website, educational platform, and associated services (collectively, the "Services").

By accessing the Website, creating an account, or purchasing any Course, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you have no right to obtain information from or otherwise continue using this Website. Failure to use the Services in accordance with these Terms may subject you to civil and criminal penalties.

2 DEFINITIONS

"Content" means all training videos, recording, text, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features, and other materials you may view on, access through, or contribute to the Service.

"Course" means the specific educational curriculum, live sessions, and digital resources purchased by the User.

"Credentials" means the username, password, and any unique download keys assigned to the User.

3 ACCOUNTS AND SECURITY

To access the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

Account Responsibility: You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.

Non-Transferability: Accounts are non-transferable. You may not sell, trade, or otherwise transfer your account to another party.

Security Breaches: You must notify WorkReady immediately of any breach of security or unauthorized use of your account. WorkReady will not be liable for your losses caused by any unauthorized use of your account.

4 INTELLECTUAL PROPERTY AND LICENSE RESTRICTIONS

All Content available through the Services, including but not limited to the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Content, is owned, controlled, or licensed by WorkReady and is protected by trade dress, copyright, patent, and trademark laws, and various other intellectual property rights and unfair competition laws.

License Grant: Subject to your compliance with these Terms, WorkReady grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial educational purposes.

Strict Prohibitions: You explicitly agree NOT to:

• Record: Screen-record, capture, or reproduce any live sessions or pre-recorded videos using any software or device.
• Share: Distribute, publicly perform, or display any Course materials to third parties who have not purchased the Course.
• Derivative Works: Modify, copy, distribute, frame, reproduce, republish, download, scrape, display, post, transmit, or sell in any form or by any means, in whole or in part, the Content without our prior written permission.
• Commercial Use: Use the Content to teach, train, or consult for others in a commercial capacity that competes with WorkReady.

5 USER CONDUCT AND LIVE SESSION ETIQUETTE

Our Services include participation in live video cohorts. To maintain a professional environment, you agree to the following code of conduct:

Professionalism: You agree to behave professionally during live sessions. Harassment, hate speech, bullying, or disruption of the class will not be tolerated.

Prohibition on Solicitation: You may not use the platform to recruit other students for external multi-level marketing, soliciting services, or promoting other businesses.

Removal: WorkReady instructors and moderators reserve the right to mute or remove any student from a live session who violates these standards. Repeated offenses will result in permanent expulsion from the course without a refund.

6 EDUCATIONAL DISCLAIMER (NO GUARANTEE OF RESULTS)

A. No Employment Guarantee WorkReady is an educational provider. WE ARE NOT AN EMPLOYMENT AGENCY, RECRUITMENT FIRM, OR HEADHUNTER. You acknowledge and agree that WorkReady has made NO IMPLICATIONS, WARRANTIES, PROMISES, SUGGESTIONS, PROJECTIONS, REPRESENTATIONS, OR GUARANTEES whatsoever to you about future employment, job placement, freelance clients, or career progression.

B. Salary and Income Disclaimers Any earnings or income statements, or examples of earnings or income, are only estimates of what you could potentially earn. There is no assurance you will do as well as stated in any examples. If you rely upon any figures provided, you must accept the entire risk of not doing as well as the information provided.

Individual Results Vary: Your success depends on your background, dedication, desire, and motivation, as well as external market factors outside of our control.

Testimonials: Testimonials and examples used on the website are of exceptional results, which do not apply to the average purchaser, and are not intended to represent or guarantee that anyone will achieve the same or similar results.

C. No Professional Advice The information contained in or made available through the Service (including but not limited to information contained on message boards, in text files, or in chats) cannot replace or substitute for the services of trained professionals in any field, including, but not limited to, financial, medical, or legal matters.

7 PAYMENT AND REFUND POLICY

A. General Policy Due to the digital nature of our Content and the immediate access granted to proprietary information, ALL SALES ARE FINAL. WorkReady does not offer refunds, exchanges, or cancellations once a purchase is made. This "No Refund" policy applies regardless of your actual usage of the product, your attendance at live sessions, or your personal financial situation.

B. Chargebacks You agree that you will not issue a chargeback or dispute with your bank or credit card company for any tuition paid to WorkReady. If you attempt a chargeback, your account will be immediately terminated, and we reserve the right to report the incident to credit reporting bureaus and use your personal information to contest the dispute.

8 THIRD-PARTY PLATFORMS AND TECHNICAL FAILURES

Our Services may utilize third-party applications (e.g., Zoom, Google Meet, Slack, WhatsApp, Cloudflare) to deliver content.

No Liability: WorkReady is not responsible for outages, data breaches, or technical failures caused by these third-party platforms.

Connectivity: You are responsible for ensuring you have a high-speed internet connection and compatible hardware to access the video content. WorkReady is not liable for playback issues resulting from your local network or hardware limitations.

9 DISCLAIMER OF WARRANTIES

THE SITE AND ALL CONTENT AND SOFTWARE ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH THE SITE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. WORKREADY DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WORKREADY DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10 LIMITATION OF LIABILITY

IN NO EVENT SHALL WORKREADY, ITS DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, OR AFFILIATES BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

11 INDEMNIFICATION

You agree to defend, indemnify and hold harmless WorkReady, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

12 GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Exclusive Jurisdiction: You specifically acknowledge and agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by the courts located in Ahmedabad, Gujarat.

Waiver: You hereby waive any objection to venue or forum non conveniens with respect to such courts.

13 MODIFICATIONS TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
